2. About these terms

These terms should be read with your quotation, design, specification, order confirmation, payment schedule, variations and any statutory cancellation information. Together, these documents form our agreement. A project-specific written term will normally take precedence over these general terms. Nothing here affects your statutory rights.

3. Quotations

Unless otherwise stated, quotations are valid for 30 days. A quotation is based on the measurements, information and site conditions available when prepared. It may be revised if the scope, specification, site conditions, supplier price or customer instructions change. Obvious calculation or typographical errors may be corrected before an order is accepted.

4. Forming the contract

A contract is formed when the customer accepts the quotation or order in writing, any required initial payment is received, and we confirm acceptance. Paying a deposit or instructing us to proceed may constitute acceptance.

5. Design and approval

The customer must check plans, elevations, measurements, product selections, colours, finishes and specifications before approval. Computer-generated images are illustrative; colours, textures and proportions may differ from the finished products. Samples are representative and natural materials may vary.

6. Design ownership

Designs, drawings, plans, visualisations and specifications remain our intellectual property, or that of the relevant manufacturer or software provider. They are supplied for consideration of a Potters Interiors project and must not be supplied to another retailer or contractor or used commercially without written permission.

7. Surveys and concealed conditions

A survey records visible and reasonably accessible conditions. It may not reveal concealed pipework, wiring, structural defects, asbestos, damp, uneven surfaces or problems hidden behind existing fittings. Necessary remedial work identified after work begins may result in an additional charge, subject to the customer’s agreement.

8. Products and availability

Products are supplied according to the accepted specification, subject to reasonable manufacturing tolerances and availability. Manufacturers may alter or discontinue products. We will discuss a suitable alternative and will not make a material substitution without agreement.

9. Bespoke products

Many products are manufactured or ordered to the customer’s measurements and choices. Once a bespoke or made-to-order item enters production, it may not be possible to change or cancel it. This does not remove any statutory consumer rights.

10. Prices and additional work

The contract price appears in the accepted quotation. Unless stated otherwise, it includes VAT at the applicable rate and only covers the specified products and work. Concealed defects, safety work, customer changes or other unforeseen work are additional. We will explain material additional costs and seek approval before proceeding, except where urgent action is reasonably necessary to make the property safe or prevent damage.

11. Payments and deposits

Deposits, interim payments and the final balance must be paid according to the quotation or invoice. If an undisputed payment is overdue, we may pause work, postpone delivery or revise the timetable after reasonable notice.

A deposit is not automatically non-refundable in every circumstance. Following cancellation, we may retain only sums we are legally entitled to retain, taking account of completed work, design and administration, supplier charges, bespoke products and reasonable losses directly caused by cancellation.

12. Changes to the project

Customer-requested changes should be recorded in writing with any price and timetable adjustment. A variation may require payment before additional products or work are ordered.

13. Delivery and installation dates

We retain contracts, invoices, payment records and associated correspondence to comply with legal, taxation, insurance and accounting obligations and to protect our legal rights.

14. Customer responsibilities

The customer must provide accurate information, check designs, make payments when due, provide safe access, disclose known hazards and concealed services, keep children and pets away from working areas, obtain permissions for which they are responsible and ensure separately appointed contractors complete their work at the agreed stage.

15. Permissions and approvals

Unless expressly included in the quotation, the customer is responsible for landlord, freeholder, planning, listed-building, party-wall and other property-specific permissions. Responsibility for building-control approval or certification should be confirmed in the quotation.

16. Other contractors

Where we appoint a contractor as part of our contract, we remain responsible for managing the contracted work. A contractor appointed directly by the customer remains the customer’s responsibility, including their work, delays and damage.

17. Customer-supplied products

We are not responsible for the quality, suitability, completeness, measurements or warranty of products supplied by the customer. If we install them, our responsibility is limited to the reasonable care and skill of our installation work.

18. Completion and snagging

  • The customer should inspect completed work and promptly report outstanding items. Minor snagging that does not prevent reasonable use does not normally justify withholding the entire final payment. We will address valid items within a reasonable period, taking account of product availability and the nature of the work.

19. Quality and consumer rights

  • We perform services with reasonable care and skill. Products supplied by us must be as described, of satisfactory quality and reasonably fit for a purpose made known to us. These statutory rights are not restricted by these terms or a manufacturer’s warranty.

20. Warranties

  • Products may have a manufacturer’s warranty, which is additional to statutory rights. Warranty cover may not apply to fair wear and tear, misuse, neglect, unsuitable cleaning, unauthorised alteration, excessive moisture, building movement or customer-supplied products.

21. Cancellation rights

  • Cancellation rights depend on how and where the contract was agreed and the type of goods and services supplied. A contract agreed entirely at a distance or away from our business premises may carry a statutory 14-day cancellation period. Where applicable, we will provide the required cancellation information and form.

  • Services will not normally begin during that period unless the customer expressly requests this. If work begins at the customer’s request and the contract is then cancelled, a proportionate charge may be payable for work completed. Cancellation rights may not apply to bespoke or personalised goods once ordered or manufactured. Individual statutory cancellation information takes precedence over this summary.

22. Cancellation after the statutory period

  • If the customer cancels after any statutory period, they may remain responsible for completed work, products already ordered, supplier cancellation charges, bespoke or non-returnable products and other reasonable losses. We will take reasonable steps to reduce avoidable losses and will not impose a disproportionate charge.

23. Suspension or termination

  • We may suspend work or end the contract where a material payment remains overdue, the customer prevents the work, conditions are unsafe, permissions are missing, a serious breach occurs or abusive behaviour takes place. Where appropriate, we will give a reasonable opportunity to correct the problem first.

24. Liability

  • We are responsible for reasonably foreseeable loss or damage caused by our breach of contract or failure to use reasonable care and skill. We are not responsible for pre-existing or concealed defects, inaccurate customer information, another contractor’s work, customer misuse or events outside our reasonable control.

  • We do not exclude liability where unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or statutory consumer rights.

25. Events outside our control

  • We are not responsible for delay caused by severe weather, fire, flood, industrial action, transport failure, utility interruption, government action, supplier failure or unexpected material shortages. We will communicate with the customer and take reasonable steps to reduce the effect.

26. Complaints

  • Please raise concerns promptly, providing the project address, a clear description, relevant dates and photographs where appropriate. Contact melvyn@pottersinteriors.co.uk. We will investigate and aim to provide a substantive response within a reasonable period.

27. Personal information

  • We handle personal information according to our Privacy Policy and Cookie Policy. We do not sell customer information.

28. Website use

  • Website information is general guidance. Product ranges, specifications, prices and availability may change. Images and visualisations are illustrative. Website content belongs to Potters Interiors or the relevant rights owner and must not be reproduced commercially without permission.

29. Changes to these terms

  • The terms applying to an existing contract will normally be those accepted when it was formed, together with later agreed variations. Updated general terms will show a revised effective date.

30. Governing law

  • These terms and customer contracts are governed by the law of England and Wales. Customers elsewhere in the United Kingdom retain any mandatory right to bring proceedings in their home jurisdiction.
